Review the Board Evaluation Framework

1. The Succession Dilemma in Pakistani Enterprises

Over 80% of major corporate enterprises and industrial conglomerates in Pakistan are family-owned businesses (FOBs) or founder-led groups. Without formal, legally binding succession protocols, generational transitions frequently precipitate catastrophic family litigation, operational paralysis, and massive capital flight.

Under Regulation 10(3) of the SECP Listed Companies (Code of Corporate Governance) Regulations 2019, the Board of Directors is statutorily required to establish a formal succession plan for the Chief Executive Officer (CEO), Chief Financial Officer (CFO), and other key executive officers, and to undergo an annual formal evaluation of its own performance.

SECP Regulatory Directive
Boards must ensure that the Human Resource and Remuneration Committee (HR&RC) reviews succession plans at least once annually and benchmarks internal succession readiness against external market talent availability.

2. The 4-Pillar Annual Board Evaluation Framework

Governance Dimension Assessment Criteria SECP Statutory Benchmark
Board Composition & Diversity Appropriate mix of executive, non-executive, and independent directors; representation of female directors; relevant industry domain expertise. Regulation 6 & 7 (At least 1 female director and 1/3 independent directors).
Strategic Governance & Oversight Board involvement in long-term enterprise strategy, capital allocation, risk management appetite, and M&A evaluations. Companies Act 2017 Section 204.
Committees Effectiveness Functionality, independence, and cadence of Audit Committee, HR&RC, and Nomination Committee meetings. Regulations 27, 28 & 29.
C-Suite Talent Bench Strength Emergency 24-hour succession coverage for CEO/CFO; identification of high-potential internal successors across 1 to 3-year horizons. Regulation 10(3).

3. Structuring Family Business Succession Charters

For multi-generational conglomerates, succession requires separating family ownership from executive operational management:
